• Reverse engineer, disassemble, or decompile our software
• Remove or alter any proprietary notices or labels
• Use our software for any illegal or unauthorized purpose
• Transfer, sublicense, or lease your rights to third parties

5.3 Ownership

UBVY Technology retains all rights, title, and interest in and to the software, including all intellectual property rights therein. These Terms do not transfer any ownership to you.

6. Fees and Payment

6.1 Pricing

Our software pricing is as published on our website or as agreed upon in writing. Prices are subject to change with 30 days' prior notice.

6.2 Payment Terms

• Payment is due according to the agreed schedule (monthly, quarterly, or annually)
• We accept payment via bank transfer, UPI, and other specified methods
• Late payments may incur interest at 1.5% per month
• All fees are exclusive of applicable taxes (GST)

7. Data and Data Security

7.1 Your Data

You retain all rights to data you input into our software. You grant UBVY Technology a limited license to use your data solely for providing the Services.

7.2 Data Processing

Our processing of your data is governed by our Privacy Policy. By using our Services, you consent to such processing.

8. Service Level

8.1 Availability

We strive to provide 99.9% uptime for cloud-based services. Scheduled maintenance will be communicated in advance when possible.

8.2 Support

Technical support is provided via email at info@ubvygroup.com during business hours (Mon-Sat, 9 AM - 6 PM IST).

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received from the other party. This obligation survives termination of these Terms.

10. Warranties and Disclaimers

We warrant that:

• Our software will perform substantially as described
• We have the right to provide the Services
• Our Services will be performed in a professional manner

10.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UBVY TECHNOLOGY SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages EXCEEDING the fees paid by you in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless UBVY Technology from any claims, damages, or expenses arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

13. Term and Termination

13.1 Term

These Terms remain in effect while you use our Services or have an active subscription.

13.2 Termination by You

You may cancel your subscription by providing 30 days' written notice. No refunds are provided for unused subscription periods.

13.3 Termination by Us

We may terminate or suspend your access immediately if you breach these Terms or engage in illegal activity.

14. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

15. Dispute Resolution

Before initiating legal action, parties agree to attempt resolution through good-faith negotiation. Unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.
